The terms on which you use TOSS ERP. The sections describing how trials, suspension, and data export behave match what the software does.

The agreement
These terms are between you (the organisation that creates a workspace) and The OneSoft Solutions (SMC-Private) Limited, who operates TOSS ERP — a company incorporated in Pakistan under the Companies Act, 2017, identification number 0336707, with its registered office in Sindh.
These terms are governed by the law of Pakistan, and a dispute we cannot settle between us goes to the courts at Karachi, where our registered office sits. If you are somewhere that gives you protections which cannot be signed away, you keep them — this clause chooses a forum, it does not remove your rights at home.
Before that, talk to us. Almost everything that looks like a dispute is a billing entry or a misunderstanding, and both are quicker to fix by email.
Your account
- You are responsible for what your users do and for keeping credentials safe.
- You choose which modules to enable and who in your organisation can reach them.
- You must not use the platform to break the law or to store material you have no right to hold.
Tax filing and e-invoicing
Some modules submit documents to a tax authority on your behalf — FBR digital invoicing in Pakistan, ZATCA e-invoicing in Saudi Arabia. That is a different kind of feature from the rest of the product, because a mistake in it lands as a penalty with your name on it, not ours. So it comes with one condition.
- These integrations arrive switched off and pointed at the authority's sandbox. Nothing reaches a live tax system until someone in your organisation deliberately turns it on and moves it to production.
- You must test in the sandbox first — both authorities provide one, and the product is configured for it out of the box. Run your real invoice types through it and satisfy yourself that what comes out is correct for your business.
- Switching to production is your decision and your confirmation that you have done that testing. Tax rates, invoice types, scenario codes, and registration details are yours to set and yours to check; we cannot know what is correct for your business.
- You remain the taxpayer. We transmit what your workspace produces. If a filing is wrong we will fix the software, but the filing, the correction, and any penalty are yours.
If you would rather not carry that, keep the integration in sandbox and file through your accountant. Every other part of the product works the same either way.
Trials, billing and suspension
How this works today, in the software:
- A new workspace runs on a 30-day period.
- If a period lapses without payment the workspace is flagged past due and you get a 5-day grace window, with a notice inside the app, before access is paused.
- While paused, signing in is blocked for everyone in the workspace. The page you land on instead can send us a billing message without signing in, so a workspace that has already paid is not locked out of reaching us.
- Pausing does not delete anything. Access returns as soon as a payment is recorded.
Paying
- Prices are in US dollars, and you pay for what you have already used. A month of use bills a month; we do not ask for the year up front. An invoice is due when it is issued.
- An unpaid invoice runs the sequence above — past due, then the grace window, then paused. We do not add interest or late fees.
- A paused workspace is kept for 90 days. Pay within that and everything comes back untouched; after it, the workspace is deleted and cannot be recovered.
- You will not be surprised by that date. Your administrators are emailed when the workspace is paused, and again at 30 days, 7 days, and the day before deletion. Every one of those emails says the date and how to stop it.
- If we change a price we will tell you 30 days before it applies, and it applies from your next billing period — never to time you have already used. If you do not want the new price, cancel before that period starts.
Cancelling and refunds
- You can cancel at any time. You are billed for the time you have used up to that point, and for nothing after it.
- There is rarely anything to refund, because you are never paying ahead — the money only ever covers time you have already had. Stopping stops the bill.
- If we have charged you for something you did not order, or twice for the same thing, that is a mistake rather than a refund policy, and we will return it.
What a plan gives you
Plans differ in two ways, and both are enforced by the software rather than by trust:
- Which modules are switched on. Moving to another plan turns modules on or off to match it. Nothing is deleted when a module is switched off — the records stay in your workspace and come back if it is switched on again.
- How many records you may create. Some plans cap things like products, partners, or ledger accounts. When you reach a cap, creating the next record is refused with a message naming the limit. Existing records are never removed to bring you under a cap, so moving to a smaller plan stops you adding more rather than destroying what you have.
The caps that apply to each plan are shown on the pricing page. A plan with no cap on something is unlimited for it.
Your data
- Your data stays yours. Ours is the software.
- You can download a full backup — database and files — from inside the workspace whenever you want, without asking us.
- How we handle personal data is set out on the privacy page.
Availability
We do not currently publish an uptime commitment, and this page will not pretend otherwise. The platform is maintained actively and we will tell you about planned work that affects availability.
There is no uptime figure in this contract, on any plan, and no service credits — we are not going to promise a number we do not yet measure. When we do measure it, we will publish what we find rather than what sounds good.
What we do commit to: we tell you before planned work that takes the service down, and we do it outside business hours where we can. Our aim on support is to reply the same working day to something urgent and within three to anything else. Treat that as a goal we work to, not a term you can hold us to.
Source code and on-premise
Some plans include source code delivery and the option to run the platform on your own servers. What that licence permits — how many installations, whether you may modify or redistribute it, what happens when the subscription ends — is the single most important thing to get right here.
Where a plan includes it, this is what you get:
- A licence to run one production installation of the platform for your own business, plus as many test and standby copies as you need. It is yours to use, not to pass on.
- You may change the code to suit how you work. What you write stays yours, and we make no claim on it.
- You may not resell, sublicense, publish, or run it as a service for anyone else. That is the one line, and it is the only thing standing between this and giving the product away.
- If the subscription ends, the installation you have keeps running. You do not lose your system because you stopped paying. What stops is updates, new versions, and support.
Liability
We provide the platform as it is described on this site and we work to keep it running correctly. We do not warrant that it will never have a fault or never be unavailable — no one honestly can.
- If we owe you something, it is capped at whichever is greater: what you paid us in the 12 months before the problem arose, or USD 500.
- The floor is there on purpose. Because you pay for time already used, a workspace in its first month has paid us nothing, and a free plan never does — without a floor those customers would be owed nothing at all, however plainly something was our fault. Five hundred dollars is not a large number, but it is not zero, and it applies from your first day.
- We are not liable for indirect losses — lost profit, lost business, or the cost of something you did in reliance on a figure the software produced.
- Nothing here limits liability that the law does not allow to be limited, including our own fraud.
One practical point, said plainly because it matters more than the clause above: this is accounting and inventory software, and you should take your own backups. The button that does it is in your workspace and costs you nothing.
Ending the agreement
- You can end it whenever you like, with no notice period. It stops at the end of the period you have paid for.
- We can end it if an invoice goes unpaid past the grace window, or if the platform is being used for something illegal. For anything else we will give you 30 days written notice and a chance to put it right first.
- Either way you get 90 days from the end date to export your data. Ask and we will send it to you if you can no longer sign in.
- After those 90 days the workspace, its files, and its backups are destroyed, as set out on the privacy page.
